Job Description

Job title: Corporate Governance & Compliance Intern

Role summary 

Support the corporate services team in ensuring compliance with Singapore company law and regulatory requirements (Companies Act, ACRA), assisting with board and shareholder administration, statutory records maintenance and filings via BizFile+.


Key responsibilities
• Assist in preparing board/committee meeting packs, agendas and accurate minutes; support logistics for in-person and virtual meetings (including AGMs/EGM).
• Maintain and update statutory registers (directors, secretaries, shareholders, charges) and minute books.
• Support filings on ACRA BizFile+ (annual returns, changes of directors/secretary/registered address, share allotments/transfers) under supervision.
• Help prepare and lodge necessary Companies Act documents and resolutions; draft routine corporate documents (board resolutions, share transfer forms, letters to shareholders).
• Assist with incorporation processes, striking-off, share capital changes and director/secretary appointments/resignations.
• Liaise with auditors, legal counsel, corporate services providers and regulators to gather documentation.
• Conduct basic legal and regulatory research on Singapore company law, ACRA practice directions and MAS/regulatory updates; summarize implications.
• Maintain corporate records, statutory filings tracker, document repository and archiving.
• Support compliance calendar management and reminders for statutory deadlines.
• Perform administrative tasks: scanning, data entry, templating, file organization; maintain confidentiality of sensitive records.
• Support monitoring of statutory deadlines and ensure timely reminders for compliance filings and corporate actions.
• Assist in improving internal templates, documentation workflows and filing processes to enhance efficiency and accuracy.

Learning outcomes
• Practical exposure to Singapore Companies Act compliance and ACRA BizFile+ processes.
• Hands-on experience with minute-taking, statutory registers and routine secretarial filings.
• Improved legal research, drafting and corporate governance awareness in Singapore context.
• Exposure to corporate transactions, restructuring exercises and real-world corporate services operations.


Qualifications & experience
• Current student or recent graduate in law, corporate governance, business, accounting or related field.
• Interest or basic knowledge of Singapore company law preferred.
• Prior administrative or internship experience is a plus but not required.


Skills & attributes
• Strong attention to detail and accuracy.
• Clear written and verbal communication.
• Discreet handling of confidential information.
• Good organisation, time management and ability to meet deadlines.
• Proficient with MS Office; comfortable learning BizFile+/doc management systems.
• Team player with professional demeanour.


Compliance note
Intern will not act as the statutory Company Secretary and all duties will be performed under supervision of the Company Secretary or Head of Legal & Compliance.
