Overview

A professional corporate services provider is currently looking for a Corporate Secretarial Assistant to join their vibrant and growing team.  The successful candidate will be required to assist the company secretary to perform corporate secretarial duties and ensure compliance with the relevant statutory and regulatory bodies.

Previous experience of handling portfolios comprising corporate secretarial clients is preferred although not essential.  Those without prior experience are most welcome to apply and will receive full on-the-job training.


Job Description

The duties of the Corporate Secretarial Executive will include the following: 

  • Assist in all aspects of corporate secretarial matters including preparation of Directors' Resolutions, AGM & EGM documents, filing on ACRA BIZFILE, update of statutory registers & XBRL filing.
  • Liaise with and advise clients on company registration, annual compliance and ongoing company administration matters.
  • Administrative duties assigned related to corporate secretarial matters.
  • Draft routine resolutions, circulate to Board Members and obtain required signatures.
  • Maintain a filing record of resolutions passed by the company.
  • Draft and prepare contents for Company Annual Report.
  • Prepare for Annual General Meeting for corporate secretarial clients
  • Coordinate and organize meetings for the Board of Directors
  • Liaise with and coordinate with related government agencies regarding corporate secretarial, tax, license applications and trademarks on behalf of clients.
  • Perform any other ad-hoc duties as assigned

The Ideal Candidate

  • Singaporean with a degree/diploma in a recognised institution or relevant certification.
  • ICSA graduates or those pursuing, as well as Diploma in Business Administration/Commerce/Law related disciplines are preferred.
  • About 1-2 years of working experience in relevant corporate secretarial or legal firms would be an advantage.
  • Good working knowledge of common statutory requirements under Companies Act.
  • Strong verbal and communication skills in English is essential.  A good working knowledge of a second language will be an asset. 
  • Proficient in Windows/MAC OS and MS Office applications.
  • A team player with good interpersonal, oral and written skills
  • Possess good organization skills, meticulous, able to work independently and manage tight deadlines
